Terms and Conditions & Refund Policy

1. Privacy and Data Protection
1.1 Information Usage
- We do NOT use your information, data, or project details to train any AI models or machine learning systems.
- Your confidential information will never be shared with third parties for any purpose without your explicit written consent.
- All client data is handled with strict confidentiality and in compliance with international data protection standards.
1.2 Data Security
- We implement industry-standard security measures to protect your data.
- We are not responsible for data breaches resulting from compromised client credentials or third-party services.
1.3 Data Retention
- Project files and data will be retained for 90 days after project completion.
- After this period, we are not responsible for maintaining backups of your project.
2. Project Development and Delivery
2.1 Timeline
- Project timelines will be agreed upon during the proposal stage.
- Timelines are estimates and may be subject to change based on client feedback, scope changes, or unforeseen technical challenges.
- Client delays in providing feedback, content, or approvals will extend the project timeline accordingly.
2.2 Revisions
- A reasonable number of revisions are included in the project scope as outlined in the proposal.
- Additional revisions beyond the agreed scope will incur extra charges.
2.3 Client Responsibilities
Clients are responsible for:
- Providing timely feedback and approvals
- Supplying all necessary content, images, and materials
- Providing access to required accounts, hosting, and domains
- Clear communication of requirements and expectations
2.4 Staging and Review
- All projects will be developed and made available for review on our staging environment.
- Clients will have the opportunity to review and request changes before going live.
- Final deployment to production occurs only after final payment terms are met.
3. Intellectual Property Rights
3.1 Client Rights
- Upon full payment, all intellectual property rights for custom-developed work transfer to the client.
- This includes custom code, designs, and content created specifically for your project.
3.2 Third-Party Components
- Third-party plugins, themes, libraries, and frameworks retain their original licenses.
- We do not transfer ownership of third-party components, only the right to use them as licensed.
3.3 Company Rights
- We reserve the right to showcase completed projects in our portfolio unless otherwise agreed in writing.
- We retain ownership of our proprietary tools, workflows, and methodologies.
4. Warranties and Disclaimers
4.1 Service Warranty
- We warrant that all services will be performed with professional skill and care.
- We guarantee that all custom code will be free from critical bugs at the time of delivery.
4.2 Post-Delivery Support
- Minor bug fixes within 30 days of project delivery are included at no extra cost.
- Major changes, feature additions, or ongoing maintenance require a separate agreement.
4.3 Third-Party Services
- We are not responsible for issues arising from third-party services, APIs, hosting providers, or external dependencies.
- Third-party service failures, policy changes, or discontinuations are outside our control.
4.5 Limitation of Liability
- Our total liability for any claim shall not exceed the total amount paid for the specific project.
- We are not liable for indirect, consequential, or incidental damages.
5. Cancellation and Termination
5.1 Client Cancellation
- Clients may cancel projects by providing written notice.
- Refund eligibility will be determined according to Section 8 (Refund Policy).
- Work completed up to the cancellation point may be billed separately if beyond the 30% progress threshold.
5.2 Company Termination
We reserve the right to terminate projects if:
- Payment terms are violated
- Client becomes unresponsive for more than 30 days
- Client requests work that violates laws or ethical standards
- Client behavior is abusive or unprofessional toward our team
5.3 Post-Termination
- Upon termination, all work-in-progress will be delivered in its current state.
- No refunds will be issued if termination is due to client breach of these terms.
6. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting. Continued use of our services after changes constitutes acceptance of the modified terms. Existing projects will be governed by the terms in effect at the time of project commencement.
7. Payment Terms
7.1 Advance Payment
- A non-negotiable 50% advance payment is required before any project work commences.
- Projects will not begin until the advance payment is received and confirmed.
- Without advance payment, all project development will be conducted on the Company’s staging environment.
7.2 Final Payment
- Full payment (remaining 50%) must be completed before the website or application goes live.
- The final product will be reviewed on our staging environment.
- Projects will only be deployed to live production after at least 80% of the total project cost has been paid.
7.3 Payment Methods
- Payment must be made through agreed-upon international payment methods.
- All payments are to be made in the currency specified in the project proposal.
8. Refund Policy
8.1 Eligibility for Refunds
The advance payment is refundable under the following specific conditions:
- Within 30% Project Progress: If you are not satisfied with the project quality, direction, or deliverables within the first 30% of project completion, you may request a full refund of your advance payment.
- Dissatisfaction with Work: Refunds are granted only if you are genuinely dissatisfied with the project work itself, not due to changes in your business direction or personal circumstances.
8.2 Non-Refundable Circumstances
Advance payments are NOT refundable in the following situations:
- Change of Mind: If you decide to change your mind about the project, pivot to a different business direction, or no longer wish to proceed for reasons unrelated to our work quality.
- AI and Automation Projects: All AI Automation Workflows, AI Agents, and Voice Agent projects are completely non-refundable due to the specialized nature of these services and immediate resource allocation.
- Third-Party Purchases: If any portion of your payment has been used to purchase third-party services, licenses, plugins, themes, APIs, or any external resources on your behalf, that amount is non-refundable.
- Post-30% Progress: Once the project has progressed beyond 30% completion, no refunds will be issued regardless of the reason.
- Projects Started Without Advance: If a project was initiated without an advance payment (at our discretion) and payment is subsequently made, that payment becomes non-refundable immediately.
8.3 Refund Process
- Refund requests must be submitted in writing via email.
- We will review the request within 5-7 business days.
- Approved refunds will be processed within 14 business days through the original payment method.
- Refund processing may take additional time depending on your bank or payment provider.
9. Governing Law and Dispute Resolution
9.1 Governing Law
These Terms and Conditions shall be governed by and construed in accordance with international business practices and the laws applicable to digital services.
9.2 Dispute Resolution
- Any disputes shall first be attempted to be resolved through good-faith negotiation.
- If negotiation fails, disputes will be resolved through binding arbitration.
- Each party bears their own legal costs unless otherwise determined by arbitration.
10. Communication and Support
10.1 Primary Communication
- All official communications must be conducted via email or agreed-upon project management tools.
- We aim to respond to all inquiries within 24-48 business hours.
10.2 Project Updates
- Regular project updates will be provided according to agreed milestones.
- Clients can request status updates at any reasonable time.
11. Acceptance of Terms
By making a payment or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and Refund Policy. If you do not agree with any part of these terms, please do not proceed with our services.
